These Terms of Service ("Terms") govern your access to and use of the Built Equity platform ("Platform"), operated by Built Equity, LLC ("Built Equity," "we," "us," or "our"), a Washington limited liability company.
By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Built Equity provides a flat-fee technology platform that helps business owners manage the process of selling their business. The Platform includes tools for creating business profiles, managing prospective buyers, sharing confidential information under NDA, financial analysis, document management, and buyer communication.
Important: Built Equity is a technology platform, not a business broker, investment bank, or licensed advisor. We do not negotiate deals, provide legal or tax advice, or act as an intermediary between buyers and sellers. You are responsible for your own decisions regarding the sale of your business.
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Platform on behalf of a company, you represent that you have the authority to bind that company to these Terms.
To use the Platform, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Built Equity charges a flat fee for access to the Platform. Current pricing is displayed on our website. All fees are due at the time of purchase unless otherwise agreed in writing.
We offer a 30-Day Confidence Guarantee. If you are not satisfied with the Platform within 30 days of your purchase date, contact us at support@builtequity.com for a full refund. No questions asked. After 30 days, all fees are non-refundable.
You agree to use the Platform only for lawful purposes related to the sale or acquisition of a business. You may not:
You acknowledge that information shared through the Platform is confidential. You agree to protect such information and only share it with parties who have signed appropriate non-disclosure agreements.
The Platform, including all software, designs, templates, and content created by Built Equity, is our intellectual property. You retain ownership of all business data, documents, and content you upload to the Platform. You grant Built Equity a limited license to process, store, and display your content solely for the purpose of providing the Platform services.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." BUILT EQUITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The financial analysis tools on the Platform — including recast earnings, SDE calculations, EBITDA adjustments, and any valuation estimates — are informational tools only. They do not constitute a formal business appraisal, valuation opinion, or financial advice. We strongly recommend consulting with qualified accountants, attorneys, and certified business appraisers before making transaction decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILT EQUITY'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. BUILT EQUITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless Built Equity, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
You may close your account at any time by contacting support@builtequity.com. Upon termination, your data will be retained in archived form for three (3) years, after which it will be permanently deleted. You may request immediate deletion at any time.
Disputes shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in King County, Washington. You agree to waive any right to a jury trial and to participate in class action lawsuits.
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.
We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use constitutes acceptance.
